Terms and Conditions

Last updated: 7th March 2026

These Terms and Conditions ("Terms") govern your access to and use of the site www.nationalstudentnetwork.com ("NSN UK") website (the "Website"), operated by the National Student Network (NSN UK), a UK subsidiary of NSN Global Services. By accessing or using the Website, you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, please refrain from using the Website immediately.

NSN UK is committed to providing information and resources related to student health and wellbeing, support for businesses, governments, and organisations, innovative technologies such as AI personal tutors, and our flagship campaign 'NSN Safer Living'. These Terms are designed to ensure a safe, secure, and compliant user experience in accordance with all relevant UK laws, including but not limited to the Data Protection Act 2018, UK GDPR, Consumer Rights Act 2015, and the Electronic Commerce (EC Directive) Regulations 2002. We aim to protect both our users and our organisation by clearly outlining rights, responsibilities, and limitations. These Terms apply to all visitors, users, and others who access or use the Website, regardless of whether they are registered or not. By continuing to browse or interact with any part of the Website, you confirm your understanding and acceptance of these provisions.

1. Definitions

For the purposes of these Terms, the following definitions apply to ensure clarity and avoid ambiguity in interpretation:

- "We", "Us", or "Our" refers to NSN UK, including its officers, directors, employees, agents, affiliates, and any successors or assigns. This encompasses the UK subsidiary as a whole and its operations within the United Kingdom.

- "You" or "User" refers to any individual, entity, organisation, or representative accessing or using the Website, whether on their own behalf or on behalf of another party. This includes students, educators, business representatives, government officials, or any other visitors.

- "Content" includes all text, images, graphics, videos, audio files, software code, scripts, databases, and any other materials or information available on or through the Website. This also extends to user-generated contributions, downloadable resources, and any interactive elements.

- "Services" include any information, tools, features, or functionalities provided via the Website, such as but not limited to AI-powered personal tutors, educational resources, campaign materials for 'NSN Safer Living', partnership information, and any other support or interactive services offered now or in the future. Services may be updated, modified, or discontinued at our discretion.

These definitions are intended to provide a clear framework for understanding the Terms and are to be interpreted in the context of UK contract law, where words importing the singular include the plural and vice versa, and references to persons include natural persons, corporations, and unincorporated bodies.

2. Acceptance of Terms

By using the Website in any manner, including but not limited to visiting, browsing, registering, or downloading Content, you confirm that you are at least 18 years old or, if under 18, that you have obtained verifiable parental or legal guardian consent in accordance with the Children’s Online Privacy Protection Act principles adapted to UK standards. You also affirm that you have the legal capacity to enter into these Terms under applicable UK law, and you agree to comply fully with these Terms, our Privacy Policy, and all relevant local, national, and international laws and regulations, including export controls if applicable.

We reserve the right to update, amend, or revise these Terms at any time to reflect changes in our practices, legal requirements, or Website functionalities. Any such changes will be posted on this page with an updated effective date. Your continued use of the Website following the posting of revised Terms constitutes your acceptance and agreement to the changes. It is your sole responsibility to review these Terms periodically for any modifications. If you disagree with any revisions, you must cease using the Website immediately. Notifications of material changes may be provided via email or prominent notices on the Website, but we are not obligated to do so unless required by law.

3. User Accounts and Registration

Certain features of the Website may require you to create an account or register by providing personal information such as your name, email address, and other details. You must ensure that all information provided during registration is accurate, current, and complete. Failure to do so may result in suspension or termination of your account. You are solely responsible for maintaining the confidentiality of your account credentials, including usernames and passwords, and for all activities, actions, or omissions that occur under your account, whether authorised by you or not.

In the event of any unauthorised use of your account or any other breach of security, you must notify us immediately via the contact details provided in these Terms. We reserve the right, at our sole discretion and without prior notice or liability, to suspend, terminate, or restrict access to your account for any reason, including but not limited to violations of these Terms, suspected fraudulent activity, or to protect the integrity of the Website. Upon termination, your right to use the Services will cease immediately, and we may delete or deactivate your account and all associated data without refund or compensation.

4. Use of the Website and Services

You are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the Website and Services for personal, non-commercial purposes only, unless explicitly authorised in writing by us for other uses, such as business or educational partnerships. This licence does not include any resale or commercial exploitation of the Website or its Content. Prohibited activities include, but are not limited to:

- Copying, reproducing, modifying, distributing, displaying, or transmitting any Content without our express prior written permission.

- Interfering with or disrupting the Website's security features, functionality, or performance, such as through hacking, denial-of-service attacks, or unauthorised access.
- Uploading, posting, or transmitting any harmful content, including viruses, malware, Trojan horses, or other destructive code that could damage or interfere with users' systems.
- Engaging in data mining, harvesting, scraping, or using automated systems like bots or spiders to collect information from the Website without consent.

Any reliance on the Services or Content is entirely at your own risk, and we disclaim all responsibility for decisions made based on them. If you experience any issues with the Services, please report them to us, but we do not guarantee uninterrupted or error-free access.

5. Intellectual Property

All Content on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, software, and the compilation thereof, is the exclusive property of NSN UK, NSN Global Services, our licensors, or content suppliers, and is protected by UK and international intellectual property laws, including the Copyright, Designs and Patents Act 1988, the Trade Marks Act 1994, and equivalent legislation. Trademarks including, but not limited to, NSN and the NSN logos are registered and protected in the United Kingdom, and unauthorised use may constitute infringement.

You are granted a limited, revocable, non-exclusive, non-sublicensable licence to access, view, and print Content for your personal, non-commercial use only, provided that you do not modify the Content and retain all copyright, trademark, and other proprietary notices. You may not reproduce, distribute, publicly display, create derivative works from, or otherwise exploit any Content without our prior written consent. Any unauthorised use terminates the permission or licence granted herein and may result in civil or criminal penalties under applicable laws. If you believe your intellectual property rights have been infringed on our Website, please contact us with details for investigation.

6. User-Generated Content

If the Website allows you to submit, post, or upload content (e.g., comments, feedback, reviews, or other materials), you grant us a worldwide, irrevocable, perpetual, royalty-free, transferable, and sublicensable licence to use, reproduce, modify, adapt, publish, translate, distribute, perform, display, and create derivative works from such content in any media or format. You represent and warrant that your user-generated content is original, does not infringe any third-party rights (including intellectual property, privacy, or publicity rights), and is not defamatory, obscene, unlawful, or otherwise objectionable.

We have no obligation to monitor, edit, or remove user-generated content but reserve the right to do so at our sole discretion, without notice or liability, if it violates these Terms or applicable laws. You are solely responsible for your content and any consequences arising from it, including claims from third parties. We may also disclose your content if required by law or to protect our rights, property, or safety, or that of others.

7. Privacy and Data Protection

Your privacy and the protection of your personal data are of utmost importance to us. Our Privacy Policy provides detailed information on how we collect, process, store, share, and protect your personal data in full compliance with the Data Protection Act 2018, UK GDPR, and other relevant data protection regulations. By using the Website, you consent to our data collection and processing practices as described in the Privacy Policy.

We implement appropriate technical and organisational measures to safeguard your data against unauthorised access, loss, or destruction. However, no transmission over the internet is entirely secure, and you acknowledge that you provide data at your own risk. If you have any concerns about data privacy, please review our full Privacy Policy or contact our data protection officer via any of our official contact forms.

8. Disclaimers and Limitations of Liability

The Website, Content, and Services are provided on an "as is" and "as available" basis without any warranties or representations of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted availability. We do not warrant that the Website will be free from viruses, defects, or errors, or that any issues will be resolved.

We make no guarantees regarding the accuracy, completeness, reliability, or timeliness of any Content or Services, and we disclaim liability for any inaccuracies or omissions. To the maximum extent permitted by UK law, including the Consumer Rights Act 2015 and Unfair Contract Terms Act 1977, we exclude all liability for:

- Any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, business opportunities, or other intangible losses.
- Any damages arising from your use or inability to use the Website, even if advised of the possibility of such damages.
- Any content or conduct of third parties, including advertisers or linked sites.

Our aggregate liability to you, whether in contract, tort (including negligence), or otherwise, shall not exceed £100 or the total amount you have paid to us in the 12 months preceding the claim, whichever is less. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under UK law.

9. Third-Party Links and Content

The Website may include hyperlinks to third-party websites, advertisements, or resources that are not owned or controlled by us. These links are provided for your convenience only, and we do not endorse, monitor, or assume responsibility for the content, privacy policies, practices, or availability of such third-party sites. Accessing or using third-party links is entirely at your own risk, and we disclaim all liability for any loss or damage arising from your interactions with them.

We recommend reviewing the terms and privacy policies of any third-party sites before engaging with them. If you encounter any issues with linked content, please inform us, but we are under no obligation to act.

10. Indemnification

You agree to defend, indemnify, and hold harmless the National Student Network 'NSN UK', its parent company NSN Global Services, affiliates, officers, directors, employees, agents, licensors, suppliers, and successors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and court costs) arising out of or related to:

- Your access to or use of the Website, Content, or Services.
- Your breach or alleged breach of these Terms or any applicable laws.
- Your violation of any third-party rights, including intellectual property, privacy, or publicity rights.
- Any content you submit or transmit through the Website.
- Any negligent, wilful, or fraudulent acts or omissions on your part.

This indemnification obligation survives the termination of these Terms or your use of the Website. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification, in which case you agree to cooperate fully with us.

11. Termination

We may, at our sole discretion and without prior notice or liability to you, terminate, suspend, or restrict your access to the Website, Services, or any part thereof at any time for any reason or no reason, including but not limited to technical issues, non-compliance with these Terms, suspected illegal activity, or to prevent harm to us or other users. Upon termination, all licences and rights granted to you under these Terms will immediately cease, and you must discontinue all use of the Website and destroy any downloaded or printed Content.

Termination does not affect any accrued rights or obligations, and sections of these Terms that by their nature should survive (such as disclaimers, limitations of liability, indemnification, and governing law) will continue in effect.

12. Governing Law and Dispute Resolution

These Terms and any disputes or claims arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts of England and Wales for any legal proceedings.

If you are a consumer resident in the UK, you may have additional rights under consumer protection laws, and nothing in these Terms affects your statutory rights. Disputes may also be resolved through alternative dispute resolution (ADR) mechanisms, such as mediation or arbitration, including via the European Commission's Online Dispute Resolution (ODR) platform accessible at https://ec.europa.eu/odr. We are not obligated to participate in ADR but may do so at our discretion. For complaints, please first contact us to attempt informal resolution.

13. Force Majeure

Neither party shall be liable for any delay, failure, or inability to perform obligations under these Terms (except for payment obligations) due to events beyond their reasonable control, including but not limited to acts of God, natural disasters, floods, earthquakes, pandemics, epidemics, wars, terrorism, riots, civil unrest, strikes, labour disputes, government actions, embargoes, shortages of materials or energy, utility failures, internet disruptions, or any other unforeseen circumstances.

The affected party must notify the other promptly and use reasonable efforts to mitigate the effects. If the force majeure event continues for more than 30 days, either party may terminate these Terms without liability.

14. Miscellaneous

- Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect to the maximum extent possible. The invalid provision shall be reformed to reflect the original intent as closely as possible.

- Waiver: No failure or delay by us in exercising any right or remedy under these Terms shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict further exercise of that or any other right.

- Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published on the Website, constitute the entire agreement between you and us regarding the Website and supersede all prior agreements, understandings, or representations, whether oral or written.

- Assignment: We may assign, transfer, or subcontract any of our rights or obligations under these Terms to any third party without your consent or notice. You may not assign, transfer, or delegate any of your rights or obligations without our prior written consent.

- Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.

- Third-Party Rights: Except as expressly provided, nothing in these Terms confers any rights on any person or entity not a party to these Terms under the Contracts (Rights of Third Parties) Act 1999.

- Notices: Any notices required under these Terms shall be in writing and sent via email to the addresses provided (for us: engage@nsnglobalservices.com; for you: the email associated with your account).
